1. Acceptance of Terms

Welcome to Flowcrest! These Terms of Service ("Terms") govern your access to and use of Flowcrest’s visual programming platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

These Terms constitute a legally binding agreement between you and Csaba Kocsis, sole proprietor (Kocsis Csaba EV.), operating under the trade name Flowcrest ("Flowcrest," "we," "us," or "our"). Please read these Terms carefully before using the Service.

2. Account Registration and Security

2.1 Eligibility

You must be at least 18 years old to use our Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.2 Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

2.3 One Account Per Person

You may only create one account per person. Creating multiple accounts to circumvent restrictions, abuse the Service, or gain unfair advantages is strictly prohibited and may result in termination of all your accounts.

2.4 Account Sharing

You may not share your account credentials with others or allow others to access your account. Your account is personal to you and non-transferable. Flowcrest reserves the right to automatically sign you out from any other active device when a new login is detected.

3. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service for:

• Illegal Activities: Use the Service for any illegal purpose or in violation of any laws
• Harmful Content: Upload, create, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Intellectual Property Infringement: Infringe upon the intellectual property rights of others
• Malicious Code: Upload or distribute viruses, malware, or any other malicious code
• System Abuse: Attempt to gain unauthorized access to our systems, networks, or user accounts
• Service Disruption: Interfere with or disrupt the Service or servers/networks connected to the Service
• Automated Access: Use bots, scrapers, or automated tools to access the Service without permission
• Rate Limit Circumvention: Attempt to bypass rate limits or other security measures
• Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Service
• Resale: Resell or redistribute the Service without our written permission

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action if necessary.

4. Intellectual Property Rights

4.1 Your Content

You retain all ownership rights to the content you create using our Service, including your projects, workflows, node configurations, and any other intellectual property you generate ("Your Content").

By using our Service, you grant us a limited, non-exclusive, royalty-free license to:

• Store and host Your Content on our servers
• Display Your Content to you through the Service
• Make backup copies for disaster recovery purposes

We do NOT:

• Claim ownership of Your Content
• Use Your Content for any purpose other than providing the Service to you
• Share Your Content with third parties (except as required by law)
• Use Your Content for training AI models or any other commercial purposes

4.2 Our Platform

The Service, including its design, code, features, functionality, and all related intellectual property rights, is owned by Flowcrest and is protected by copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

4.3 Trademarks

"Flowcrest" and our logo are trademarks of Flowcrest. You may not use our trademarks without our prior written permission.

5. Subscription and Billing

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current plans and pricing are available on our Pricing page.

5.2 Payment Terms

By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen plan
• Provide accurate and complete payment information
• Authorize us to charge your payment method for all fees
• Update your payment information if it changes

All payments are processed securely through Stripe. We do not store your credit card information.

5.3 Billing Cycles

Subscription fees are billed in advance on a recurring basis (monthly, yearly, or as specified in your plan). Your billing cycle begins on the date you subscribe.

5.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.

No partial refunds will be provided for unused time in a billing period.

5.6 Refund Policy

All sales are final. We do not offer refunds except:

• As required by law
• In cases of billing errors (we will correct the error)
• At our sole discretion on a case-by-case basis

5.7 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewals. We will provide at least 30 days' notice before any price increase takes effect.

5.8 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your subscription may be suspended or canceled. You remain responsible for any unpaid fees.

5.9 Lifetime Plans

Lifetime plans provide access to the Service for as long as the Service exists, subject to these Terms. Lifetime plans are non-refundable and non-transferable. We reserve the right to discontinue offering lifetime plans at any time.

6. Service Availability and Modifications

6.1 Service Availability

We strive to provide reliable and uninterrupted service, but we do not guarantee:

• That the Service will be available at all times or without interruption
• That the Service will be error-free or bug-free
• Any specific uptime percentage

The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

6.2 Planned Maintenance

We will make reasonable efforts to notify you in advance of planned maintenance that may affect Service availability.

6.3 Service Modifications

We reserve the right to:

• Modify, update, or discontinue any feature of the Service
• Change the Service's functionality or user interface
• Add or remove features from subscription plans

We will make reasonable efforts to notify you of material changes that negatively affect your use of the Service.

6.4 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of Your Content. We are not liable for any loss of data.

7. Termination

7.1 Termination by You

You may terminate your account at any time by:

• Using the "Delete Account" feature in your account settings
• Contacting us at info.flowcrest@gmail.com

Upon termination, all your data will be permanently deleted from our active systems. This action is irreversible. We recommend exporting your data at /api/export-data before deleting your account.

7.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Violation of our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of the Service or other users
• At our sole discretion

7.3 Effect of Termination

Upon termination of your account:

• Your right to access and use the Service immediately ceases
• All your data will be deleted (subject to backup retention policies)
• You remain liable for any fees incurred before termination
• No refunds will be provided for unused subscription time (except as required by law)

7.4 Survival

The following sections survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

8. Disclaimers and Warranties

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be compatible with all devices or software
• Your data will be completely secure from unauthorized access
• The Service will be available at all times

You use the Service at your own risk. You are solely responsible for any damage to your device or loss of data resulting from your use of the Service.

9. Limitation of Liability

This includes, without limitation, any indirect, incidental, consequential, special, or punitive damages, any loss of profits, revenue, data, goodwill, or other intangible losses, whether incurred directly or indirectly, even if Flowcrest has been advised of the possibility of such damages.

You acknowledge that you use the Service entirely at your own risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express or implied.

Flowcrest shall not, under any circumstances, be required to pay compensation, refunds, or reimbursement of any kind, regardless of the cause or nature of the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flowcrest, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your Content
• Any harm caused to any third party through your use of the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

11. Dispute Resolution and Governing Law

11.1 Informal Resolution

Before filing a formal claim, you agree to contact us at info.flowcrest@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions.

11.3 Jurisdiction and Venue

Any dispute arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Budapest, Hungary. However, if you are a consumer residing in another EU Member State, you may also bring proceedings before the courts of your country of habitual residence. You hereby consent to the personal jurisdiction of such courts.

11.4 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim or cause of action arose, or it will be forever barred.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Flowcrest regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of these Terms
• Sending you an email notification

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
